Terms of service

This is the agreement between you and KB Innovations for the use of KBInnovate and our product Cleo. By creating an account or using the service you agree to it. We have written it in plain English on purpose.
The short version. We match the receipts you forward to expenses already in your QuickBooks Online books and attach them once you approve. You stay responsible for your own bookkeeping and for checking the matches. We are not your accountant. Either of us can end this at any time.
Who we are
KBInnovate is a trading name of KB Innovations, a company registered in India, at 8, 603 Orchid Petals, Sector 49, Gurgaon, Haryana 122018, India. In these terms, "we" and "us" mean KB Innovations, and "you" means the business using the service.
Who may use the service
You must be at least 18 and able to enter into a contract on behalf of your business. The service is for business use, not personal use.
What the service does
You forward receipts to an address we give you. We read them, compare them to transactions already in your QuickBooks Online bank feed, and propose a match. When you approve a match, we attach the receipt to that existing transaction.
We do not create expenses, purchases, bills, journal entries or any other new records in your books. Nothing is attached without a person approving it first.
Your account
- Keep your password to yourself and tell us promptly if you think someone else has it
- You are responsible for what happens under your account, including anything your staff or bookkeeper does with access you have given them
- Give us accurate information when you sign up, and keep it up to date
Your QuickBooks connection
Connecting QuickBooks Online is your choice and you approve it on Intuit's own screen. You can disconnect at any time, from inside our product or from within QuickBooks. When you disconnect we stop reading your books.
Your use of QuickBooks Online is governed by your agreement with Intuit, not by us. We are an independent company and are not affiliated with, endorsed by, or acting on behalf of Intuit.
Your responsibility for your books
This matters more than anything else in these terms, so we will be direct about it.
Cleo proposes matches. You decide whether they are right. The books remain yours, and you remain responsible for their accuracy, for your tax filings, and for anything that depends on them. We are a software company, not your accountant, bookkeeper or tax adviser, and nothing the product shows you is accounting, tax or legal advice.
Automated matching will sometimes get things wrong. That is why every match waits for your approval. Please review them properly rather than approving in bulk without looking.
What you agree not to do
- Forward email you have no right to forward, or use the service to handle someone else's mail without their knowledge
- Try to break into, overload, reverse engineer or interfere with the service
- Use the service to break the law, or to store or process anything unlawful
- Resell or rebrand the service without our written agreement
Your content
Your receipts and your books remain yours. You give us permission to store and process them only so far as we need to in order to run the service for you. What we do with them is set out in our privacy policy, which forms part of these terms.
Our software
The software, the website and everything in them remain ours. You get the right to use the service while your account is open, and nothing more. That right is not exclusive, cannot be transferred, and ends when your account ends.
Paying for the service
Where a plan is paid, fees and billing periods are the ones shown at the time you sign up. Fees are payable in advance and are not refundable for a period already started, unless the law says otherwise or we agree otherwise in writing.
We may change our prices. If we do, we will give you at least 30 days notice by email before the change affects you, and you may cancel before it takes effect.
Some plans may be offered free or at a reduced rate during a pilot or trial. We will be clear at the time about what that includes and how long it lasts.
Ending the agreement
You can close your account at any time, for any reason. We can suspend or close an account that breaks these terms, that is not paid for, or where we are required to by law. If we close your account we will tell you why, unless the law prevents us.
Before you leave, you can ask us for a copy of what we hold. After your account closes we delete your information as described in the privacy policy. Receipts already attached inside QuickBooks stay in QuickBooks, because they belong to your books, not to us.
Availability
We work to keep the service running but we do not promise it will be available without interruption. We may need to take it down for maintenance, and parts of it depend on other companies such as Intuit and Google, whose availability is outside our control.
What we do not promise
The service is provided as it is. To the extent the law allows, we do not give warranties that it will be uninterrupted, error free, or that every receipt will be found and matched correctly.
Limits on what we owe you
To the extent the law allows, we are not liable for lost profits, lost data, lost business, or indirect or consequential losses. Where we are found liable, the total amount we owe you is limited to what you paid us in the twelve months before the event that caused the claim.
Nothing here limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
Changes to these terms
We may update these terms. If a change is significant we will email you at least 30 days before it takes effect. Continuing to use the service after that means you accept the new terms. If you do not accept them, close your account before they take effect.
Law and disputes
These terms are governed by the laws of India, and the courts of Gurgaon, Haryana have jurisdiction over any dispute. Before going to court, please write to us — most problems are quicker to fix by email.
